You will have the right to defend and compromise such claim at your expense for the benefit of MEA WorldWide; provided, however, you will not have the right to obligate the MEA WorldWide and its affiliates, officers, directors, employees, consultants, and agents in any respect in connection with any such settlement without the written consent of the indemnified party. Notwithstanding the foregoing, if you fail to assume your obligation to defend, the MEA WorldWide may do so to protect its interests and you will reimburse all costs incurred by the MEA WorldWide in connection with such defence.
10. Termination
MEA WorldWide may terminate these Terms of Use at any time without notice, and deny you access to the Services, if in its sole judgment you fail to comply with any term or provision of the Terms of Use. Upon any termination or expiration of these Terms of Use, those provisions that, by their nature, are intended to be performed after the termination or expiration of these Terms of Use shall survive such termination or expiration.
11. Choice of Law
These Terms of Use will be governed by and construed under the laws of the State of Karnataka, India without regard to principles of conflict of laws.

- The failure of either party to enforce at any time any of the provisions of these Terms of Use will in no way be construed to be a present or future waiver of such provisions.
